Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the products and services offered by Osonwanne Group LLC (“we,” “us,” “our”), including CactusComply, LoneStarComply, and related websites and services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. The Services

The Services are software tools that help small businesses calculate, prepare, and electronically file state sales and use tax returns (for example, Arizona Transaction Privilege Tax and Texas sales & use tax). We are a software provider and, where applicable, an approved electronic-filing transmitter; we are not a law firm, accounting firm, or tax advisor, and the Services do not constitute legal, tax, or accounting advice.

2. Accounts and Eligibility

You must be at least 18 and authorized to act for your business. You are responsible for the accuracy of the information in your account and for maintaining the confidentiality of your credentials and all activity under your account.

3. Your Responsibilities

  • Provide complete and accurate business, taxpayer, and sales data. Filings are generated from the data you provide; you are responsible for reviewing and for the accuracy and timeliness of your returns and payments.
  • Maintain the necessary registrations, permits, and authorizations to file (e.g., a valid taxpayer number and WebFile/portal credentials).
  • Use the Services only for lawful purposes and in compliance with applicable tax laws.

4. Fees, Billing, and Cancellation

  • Paid plans and add-ons are billed through our payment processor (Stripe) on a recurring or one-time basis as described at checkout.
  • Subscriptions renew automatically until cancelled. Add-ons such as White Glove may be cancelled at any time from your billing settings and remain active through the paid period.
  • Except where required by law, fees are non-refundable. You authorize us to charge your payment method for all applicable fees and taxes.

5. Third-Party Services and Tax Authorities

The Services integrate with third parties (including payment, authentication, hosting, and email providers) and transmit filings to state tax authorities as authorized by you. Your use of those services is subject to their terms, and we are not responsible for their acts or omissions or for changes in government systems, requirements, or processing times.

6. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that filings will be accepted, that the Services will be uninterrupted or error-free, or that they are a substitute for professional tax advice. You remain responsible for your tax obligations.

7. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any penalties, interest, or lost profits. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid us for the Services in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Osonwanne Group LLC from claims, losses, and expenses arising out of your data, your use of the Services, or your violation of these Terms or applicable law.

9. Termination

You may cancel at any time. We may suspend or terminate access for violation of these Terms, non-payment, or as required by law. Certain provisions (including Sections 6–8) survive termination.

10. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Maricopa County, Arizona.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with a revised “Last updated” date; continued use constitutes acceptance.
